Welcome to JaayoRun. By accessing or using our mobile application, website, or related services (collectively, the “Platform”), you agree to be legally bound by these Terms of Use. Please read them carefully.

 

If you do not agree to these Terms, do not use the Platform.

• GENERAL TERMS

 

1. These Terms of Use govern your access to and use of the Platform and define the legally binding terms on which you may order goods from Vendors through our Services.

 

1. By using the Platform in any manner, you confirm that you accept these Terms and agree to comply with them.

 

1. A breach of these Terms may result in your rights to use the Platform being restricted, suspended, or withdrawn.

 

1. We may amend these Terms at any time. Material amendments will be communicated with at least 14 days’ prior notice via the Platform or email. Your continued use after the effective date constitutes acceptance.

 

1. If you do not understand any term, please contact us at [support email] before using the Platform.

• Nature of Relationship

 

1. The Platform allows you to order goods from independent Vendors, including:

 

1. Food and meals from restaurants;
2. Grocery items from supermarkets;
3. Over-the-Counter (OTC) pharmaceuticals from pharmacies;
4. Retail goods from general stores;
5. Such other products as may be offered from time to time (collectively, “Services”).

 

1. JaayoRun acts as your agent for the limited purpose of purchasing or ordering Products from Vendors on your behalf and arranging delivery.

 

1. JaayoRun is not affiliated with or has any form of partnership with any Vendor. We do not have possession of any Product offered for sale. JaayoRun is not a subsidiary or affiliate of any Vendor listed on the Platform.

 

1. We have no control over and do not guarantee the existence, quality, safety, legality, or fitness for purpose of any Product as advertised by Vendors.

 

1. To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding any Product obtained through the Platform.

• Eligibility and Registration

 

1. You must be at least 18 years old to use the Platform.
2. To place orders, you must create an account by providing:

 

1. Full name;
2. Valid phone number;
3. Delivery address(es);
4. Email address (optional but recommended).

 

1. You represent that all registration information you submit is accurate, truthful, and complete.

 

1. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

 

1. You must notify us immediately of any unauthorised use of your account at [support email].

 

1. We may verify your identity at any time and request additional documentation.

• Placing Orders

 

1. By placing an order through the Platform, you make an offer to purchase the selected Products from the Vendor.

 

1. The Vendor may accept or reject your order at its discretion. If rejected, you will not be charged.

 

1. Once the Vendor accepts your order, it is binding. You may not cancel after acceptance except as provided in the Refund Policy.

 

1. You agree to provide accurate and complete information for each order, including correct delivery address and contact details.

 

1. Product images on the Platform may be stock photographs for illustrative purposes only.

 

1. You may review your order summary at checkout before confirmation. By confirming, you agree that you have made all necessary corrections.

• Pricing And Payment

 

1. Product prices are set by Vendors. JaayoRun does not control or set product prices.

 

1. You agree to pay:

1. The product price as listed;
2. Delivery fees as displayed at checkout;
3. Any applicable taxes, levies, or service fees.

 

1. All payments must be made through the Platform using available payment methods (debit/credit cards, bank transfers, wallet, QR codes). We do not accept cash or off-platform payments.
2. All payments are processed by third-party payment processors. JaayoRun is not responsible for any errors, delays, or failures caused by the payment processor.

 

1. The total price is stated at checkout and is due when the order is placed.

 

1. In the event of any price change, you will receive a notification and must accept the updated price before proceeding.

• Delivery

 

1. Delivery is provided by independent third-party Delivery Agents. JaayoRun does not employ, control, or supervise Delivery Agents.

 

1. Estimated delivery times are provided for convenience only and are not guaranteed.

 

1. You are responsible for:

 

1. Being available at the delivery address to receive your order;
2. Providing accurate delivery instructions;
3. Ensuring a safe and accessible delivery location.

 

1. If the Delivery Agent arrives at your provided delivery address and is unable to reach you after making reasonable efforts (including calls and in-app messages) and waiting for ten (10) minutes:

 

1. The Delivery Agent will leave the location.
2. You will not be eligible for a refund for the failed delivery.
3. You may request redelivery within ninety (90) minutes of the failed delivery attempt.
4. For redelivered orders, JaayoRun does not guarantee the freshness, temperature, or quality of perishable Products.
5. Redelivery requests for orders placed after 7:00 PM may not be processed, and no refund shall be issued.

 

1. Doorstep deliveries (delivery to building entrance or estate gate rather than apartment door) are at the Delivery Agent’s discretion based on safety and access. You are responsible for ensuring the Delivery Agent has access to your delivery location. If access is not granted, you must arrange pickup from the access point within five (5) minutes, or the delivery will be deemed failed with no refund.

 

1. To ensure secure delivery, you may be required to provide a delivery confirmation code or PIN to the Delivery Agent upon receipt of your order. You agree:

 

1. To share your delivery PIN only when the Delivery Agent has arrived and you have physically received your complete order.
2. Sharing your PIN before receiving your order constitutes confirmation of delivery, and you will not be eligible for a refund for non-delivery.
3. If a Delivery Agent requests your PIN before arrival, you must report this to JaayoRun immediately.
4. You are solely responsible for any order disputes arising from sharing your PIN prematurely.

 

1. Risk of loss or damage to Products transfers to you upon delivery confirmation.

• Refunds and Cancellations

 

1. Refunds are governed by our Refund Policy (a separate document incorporated into these Terms by reference). The key provisions are summarised below.

 

1. If an item is missing from your order, you must contact support within three (3) hours of delivery with a photo of your received order. If we cannot arrange delivery of the missing item, we will refund the full cost.

 

1. If you receive the wrong order, you must contact support within one (1) hour of delivery with a photo. We will attempt to deliver the correct order. Refunds shall only be issued if pickup and redelivery is not possible due solely to JaayoRun’s fault or negligence.

 

1. We do not issue refunds for issues based on individual preferences such as taste, spice level, texture, or subjective quality.

 

1. Complimentary items are not refundable.

 

1. Orders may be cancelled only before the Vendor accepts the order. Once accepted, cancellation is at the Vendor’s discretion. If the Vendor has started preparing, no cancellation or refund is possible.

 

1. If you refuse delivery for any reason other than a completely wrong order, no refund.

 

1. If a Vendor cancels your order, we will issue a full refund.

 

1. If you receive spoiled or expired Products, you must contact support within one (1) hour of delivery with a photo. Full refund or replacement will be issued.

 

1. If your order is damaged during delivery, contact support immediately with a photo. Partial or full refund may be issued based on severity.

• OTC Pharmaceuticals Disclaimer

 

1. JaayoRun is not a medical practitioner, pharmacist, or healthcare provider.

 

1. Our Services are strictly limited to the delivery of OTC pharmaceuticals. We do not provide medical advice, offer diagnoses, recommend treatments, or perform any healthcare services.

 

1. You assume all risk associated with the selection, purchase, and use of any OTC pharmaceutical delivered through the Platform.

 

1. We do not deliver prescription drugs or any medication requiring a prescription from a licensed medical practitioner.

 

1. You indemnify JaayoRun against any claim arising from your misuse of OTC pharmaceuticals, including but not limited to failure to follow dosage instructions, contraindications, or allergic reactions.

• Prohibited Conduct

 

1. You agree not to:

 

1. Use the Platform for any unlawful purpose;
2.  Harass, abuse, or threaten any Vendor, Delivery Agent, or JaayoRun personnel;
3. Provide false, inaccurate, or misleading information;
4. Attempt to make payments outside the Platform;
5. Create multiple accounts or circumvent any Platform restrictions;
6. Reverse engineer, copy, or modify any part of the Platform;
7. Make false or fraudulent refund claims, including claiming non-delivery when delivery was completed;
8. Share your delivery PIN before receiving your order.

• Intellectual Property

 

1. JaayoRun owns all intellectual property rights in the Platform and any materials published on it.

 

1. You may access and use the materials for personal, non-commercial use only. You may not reproduce, distribute, publicly display, or modify without a licence.

10.3 Any disassembling, decryption, reverse engineering, or copying of any element of the Platform is strictly prohibited.

•  Disclaimer of Warranties

 

1. The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.

 

1. To the maximum extent permitted by law, JaayoRun disclaims all warranties, express or implied, including:

 

1. Merchantability, fitness for a particular purpose, and non-infringement;
2. That the Platform will be uninterrupted, error-free, or secure;
3. Regarding the quality, safety, or legality of any Product sold by Vendors.

 

1. You acknowledge that JaayoRun does not inspect, test, or verify any Vendor or Product, and you rely on Vendors solely at your own risk.

• Limitation of Liability

 

1. To the maximum extent permitted by law, JaayoRun’s total liability to you arising under these Terms shall not exceed the total amount you paid to JaayoRun in the three (3) months preceding the claim.

 

1. JaayoRun shall not be liable for:

 

1. Injury, illness, or damage caused by any Product purchased from a Vendor;
2. Acts or omissions of Vendors or Delivery Agents;
3. Delays or disruptions in our Services;
4. Any damage caused by a virus or other technologically harmful material.

 

1. Nothing in this Section limits our liability for fraud, death, or personal injury caused by our gross negligence.

•  Indemnity

 

1. You agree to indemnify and hold harmless JaayoRun, its directors, officers, and employees from any claims, losses, damages, and expenses (including legal fees) arising from::

 

1. Your breach of these Terms;
2. Your violation of any applicable laws;
3. Your interaction with any Vendor or Delivery Agent;
4. Your misuse of the Platform;
5. Your misuse of OTC pharmaceuticals delivered through the Platform;
6. Your false or fraudulent refund claims.

• Account Suspension and Termination

 

1. JaayoRun may suspend or terminate your account at any time, without notice, for:

 

1. Violation of these Terms;
2. Fraudulent or abusive conduct;
3. Non-payment of amounts due;
4. Chargeback abuse;
5. Any other reason at our sole discretion.

 

1. Upon termination, any pending orders may be cancelled, and any outstanding balance may be forfeited or refunded at our discretion.

 

1. You may delete your account at any time through the Platform settings.

• DISPUTE RESOLUTION

 

1. Any dispute shall first be reported to our customer support at [support email] for resolution within seven (7) Business Days.

 

1. If not resolved internally, either Party may refer the dispute to mediation at the Lagos Multi-Door Courthouse (LMDC).

 

1. Any dispute not resolved by mediation shall be finally resolved by arbitration in Lagos State, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004, by a single arbitrator.

 

1. For disputes where the total amount in controversy is less than ₦500,000, either Party may elect to bring a claim in the Small Claims Court of Lagos State instead of arbitration. This election must be made in writing within fourteen (14) days of a dispute arising.

 

1. You agree to resolve disputes on an individual basis and waive any right to participate in a class action or representative proceeding.

• Force Majeure

 

JaayoRun shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, war, riot, pandemic, government action, or infrastructure failure.

• Severability

 

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force.

• Entire Agreement

 

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and JaayoRun and supersede all prior agreements.
